Software License Agreement

1. This is an agreement on behalf of Hydro-Logic Ltd, otherwise know as the Licensor.
 
2. The agreement is with regard to the use of computer software, associated databases or other specific data storage methods, and any internet services for software and associated data, to which the Licensor is entitled to grant a licence for use.
 
3. The agreement is between Hydro-Logic Ltd and the user or organization licenced to use the above, otherwise know as the Licencee.
 
4. The Licencee is being licensed to use the above, according to the features, number of users, databases, servers etc specified upon ordering and/or contained in the documentation of the product.
 
5. This is a limited, nonexclusive, licence. Hydro-Logic Ltd reserves all rights not expressly granted, and is and remains the owner of all titles, rights, and interests in the Software, unless otherwise stated as part of a specific agreement, supplementary to this licence.
 
6. The Licencee will not make copies for use of the Software or allow copies of the Software to be made by others, unless authorised by a specific agreement, supplementary to this licence. The Licencee may make copies of the Software for backup purposes only.
 
7. The Licencee must not sell, transfer or otherwise distribute the software or licence to other parties.
 
8. This Software is subject to a limited warranty. Hydro-Logic Ltd warrants to the Licencee that the physical medium on which this Software is distributed is free from defects in materials and workmanship under normal use. The Software will perform according to its printed documentation, and to the best of Hydro- Logic Ltd’s knowledge the Licencee’s use of this Software according to the printed documentation is not an infringement of any third party’s intellectual property rights. This limited warranty lasts for a period of 30 days after delivery. To the extent permitted by law, the above-stated limited warranty replaces all other warranties, express or implied, and Hydro-Logic Ltd disclaims all implied warranties including any implied warranty of title, merchantability, non-infringement, or for purpose.
 
9. No agent of Hydro-Logic Ltd is authorized to make any other warranties or to modify this limited warranty.
 
10. Any action for breach of this limited warranty must be commenced within one year of the expiration of the warranty.
 
11. In case of a breach of the Limited Warranty, the Licencee’s exclusive remedy is as follows: the Licencee will return all copies of the Software to Hydro-Logic Ltd, at the Licencee’s cost, along with proof of purchase. (the Licencee can obtain an explanation of this procedure, by contacting Hydro-Logic Ltd at the Head Office address shown on the Web Site). At Hydro-Logic Ltd’s option, Hydro-Logic Ltd will either send the Licencee a replacement copy of the Software, at Hydro-Logic Ltd’s expense, or issue a full refund.
 
12. Notwithstanding the foregoing, Hydro-Logic Ltd is not liable to the Licencee for any damages, including compensatory, special, incidental, exemplary, punitive, or consequential damages, connected with or resulting from this licence agreement or use of the software.
 
13. The software is not subject to warranty in any operating environment (including, but not limited to, Hardware, Operating System, Servers, Browser version, Software Drivers, Network specification and bandwidth availability etc.) other than those in which it was originally intended to operate and for which it has been tested. Changes in the operating environment may also require reinstallation of the Software.
 
14. The Licencee agrees to defend and indemnify Hydro-Logic Ltd and hold Hydro-Logic Ltd harmless from all claims, losses, damages, complaints, or expenses connected with or resulting from the Licencee’s business operations.
 
15. The Licencee and end users must not use any aspect of the products and/or services covered by this agreement for any illegal or malicious purposes, and must not attempt unauthorized access to the same.
 
16. The Licencee and end users must not reverse engineer, decompile or disassemble the Software.
 
17. In order to qualify for technical support, the Licencee must agree that Hydro-Logic may collect and use technical information from their systems, purely for these purposes, and the Licencee may also be requested to grant remote access for these purposes.
 
18. The Licencee must not attempt to install or upgrade the software unless already licenced, and eligible for an upgrade as part of a current support and maintenance contract, unless otherwise stated in writing by Hydro-Logic Ltd. However, special arrangements for Trial or Evaluation purposes may be made with Hydro-Logic Ltd for limited and clearly defined periods.
 
19. Hydro-Logic Ltd has the right to terminate this License Agreement and the Licencee’s right to use this Software upon any material breach by the Licencee.
 
20. The Licencee agrees to return to Hydro-Logic Ltd or to destroy all copies of the Software upon termination of the License.
 
21. This License Agreement is the entire and exclusive agreement between Hydro-Logic Ltd and the Licencee regarding this Software. This License Agreement supersedes all prior negotiations, dealings, and agreements between Hydro-Logic Ltd and the Licencee regarding this Software.
 
22. This License Agreement is governed by the law of the United Kingdom of Great Britain and Northern Ireland. This agreement does not affect any statutory rights under this law.
 
23. This License Agreement is valid without signature. It becomes effective upon the Licencee’s use of the Software. The Licencee and all end users must agree to be bound by the terms of this agreement, and must not install, copy or use the Software if they do not agree.
